Provider, eligibility and agreement
Zavyra is provided by ProWEB Agency, Parowa 18, 59-724 Osiecznica, Poland, NIP 612-174-56-24, email: office@zavyra.com ("Zavyra", "we", "us").
The service is intended for businesses and people acting for businesses. You must have legal capacity and authority to bind the customer. If mandatory consumer law applies despite this business purpose, nothing in these Terms removes rights that cannot lawfully be excluded.
Accounts, workspaces and security
You must provide accurate registration and billing information, keep it current, protect credentials and recovery methods, and use multi-factor authentication where required. Each user must use an individual account. Workspace owners control membership and roles.
You are responsible for authorised activity in your workspace, permissions granted to integrations, and promptly removing users who no longer need access. Notify office@zavyra.comimmediately of suspected compromise. We may require additional verification before sensitive changes, exports, integrations or deletion requests.
The Zavyra service
Depending on the plan and release status, Zavyra may provide workspace administration, product and offer management, marketplace or advertising integrations, inventory and order views, analytics, audits, synchronisation, content generation, AI assistance and user-confirmed automation. Feature availability, limits and supported providers may vary.
Features marked beta, preview or early access may be changed, limited or withdrawn and may not have the same support or availability commitments as generally available features. Zavyra does not act as a marketplace, seller, payment institution or advertising agency.

Prices are net and VAT or other taxes are added where required. The checkout or signed order form identifies the plan, included workspaces, users, channels, AI usage and other limits. If a displayed price conflicts with an accepted checkout or order form, the accepted checkout or order form controls for that subscription period.
We may offer paid add-ons or usage-based capacity. Zavyra may enforce plan limits, pause excess processing or ask the customer to upgrade. We will not silently charge an additional paid product without the customer's ordering action or prior contractual basis.
Billing, renewal and taxes
Paid subscriptions are processed by Stripe or another payment operator shown at checkout. Monthly and annual subscriptions renew automatically for the same period until cancelled. Annual fees are charged in advance. You authorise the payment operator to charge the saved payment method for recurring fees, taxes and authorised add-ons.
An upgrade may apply immediately with prorated billing. A downgrade normally applies at the next renewal and may reduce features, retention or usage limits. You are responsible for valid billing details and all taxes not collected by Zavyra. Failed payment may lead to restricted service after reasonable notice.
Cancellation and refunds
You may cancel through the billing portal where available or by contacting office@zavyra.com. Cancellation normally takes effect at the end of the current paid period; access remains available until then unless the account is suspended for security or material breach.
Fees for a started billing period are non-refundable except where mandatory law applies, the checkout states otherwise, or ProWEB Agency agrees in writing. Cancellation of Zavyra does not automatically cancel charges owed directly to Google, Amazon, Shopify, Stripe or another third party.
Third-party integrations
Integrations depend on the customer's third-party account, granted permissions, API availability, quotas, provider review and provider terms. You authorise Zavyra to exchange only the data and perform only the operations needed for the integration and features you select. You remain responsible for third-party fees, listings, campaigns, orders and policy compliance.
Providers may change APIs, permissions or eligibility, suspend an account or experience outages. Zavyra is not responsible for a third party's services or decisions, but will use reasonable efforts to present failures honestly and avoid displaying an operation as completed when the provider has not confirmed it.
Google Ads integration terms
Connecting Google Ads authorises Zavyra to access the selected Google Ads accounts and to read reporting data or create and manage supported campaigns when an authorised user requests those actions. The customer must comply with Google's advertising policies, billing requirements and API terms, and must review campaign settings, targeting, budget, creative and status before enabling spend.
Disconnecting removes active Zavyra credentials and disables the connection, but may not erase historical reporting records. Google access can also be revoked in the Google Account. Data use, deletion and Limited Use commitments are described in the Privacy Policy.
Amazon SP-API integration terms
Amazon features are available only to eligible seller accounts and may be read-only, preview, beta or limited by Amazon's approval. The customer authorises Zavyra to access only the seller, marketplace, catalogue, offer, inventory and order business data required for enabled features. The current integration does not request Amazon Restricted Data Tokens or import Amazon customer PII.
The customer remains responsible for Seller Central access, product accuracy, inventory, fulfilment, tax, orders and compliance with Amazon's agreements and policies. Disconnecting Zavyra deletes active Amazon credentials and stops queued work but does not by itself revoke Zavyra inside Seller Central or erase all imported non-PII business records. Follow the revocation and deletion steps in the Privacy Policy.
AI features and human review
AI features run only when a user invokes the relevant assistant, content or analysis flow, unless a separately described automation has been enabled by an authorised workspace user. Inputs may be sent to an AI provider as described in the Privacy Policy. Google Ads data is not routed to the current AI tools. Filtered Amazon order or product fields may be sent only for an explicit Amazon-related Copilot or content request.
AI outputs may be incomplete, inaccurate, biased or unsuitable. They are assistance, not legal, tax, accounting, safety or professional advice and not a guarantee of ranking, approval, availability or sales. The customer must review outputs and material actions before publication or execution. Zavyra may require confirmation for high-impact actions and may block requests that are unsafe, unlawful or outside available permissions.
Customer data, privacy and confidentiality
The customer retains its rights in submitted and imported data and grants Zavyra a limited right to host, process, transmit, copy and display that data only to provide, secure and support the service, comply with law and follow the customer's lawful instructions. The customer confirms it has the notices, rights, permissions and legal bases needed to submit and process that data.
Each party must protect the other party's non-public business information using reasonable care and use it only for the agreement. Zavyra's processing is governed by the Privacy Policy and, where Zavyra is a processor, the DPA. Connected-platform data is not sold.
Acceptable use
You must not:
- use Zavyra unlawfully, deceptively or to infringe rights or platform policies;
- access another workspace, system or data without authorisation;
- probe, bypass or disrupt security, quotas, confirmations or access controls;
- upload malware or data that you have no right to process;
- resell, sublicense, scrape or reverse engineer the service except where law permits;
- use AI features to generate prohibited content or make unreviewed high-impact decisions about people; or
- share credentials or evade plan limits through duplicate or coordinated accounts.
We may investigate suspected abuse and cooperate with affected providers or authorities where legally required, while limiting disclosure to what is necessary.
Availability, maintenance and changes
We use reasonable efforts to keep Zavyra available and secure. Interruptions may occur for maintenance, updates, incident response, capacity, network failures or third-party outages. The public 99.9% uptime statement is a service objective, not a service-level guarantee. Contractual service levels apply only when included in an Enterprise order form.
We may improve, replace or discontinue features. For a material removal from a paid plan, we will give reasonable notice where practical and provide a reasonable migration or cancellation option, except where immediate action is required by security, law or a provider.
Intellectual property and feedback
Zavyra software, interface, branding, documentation and service-generated system materials belong to ProWEB Agency or its licensors. During an active subscription, the customer receives a limited, non-exclusive, non-transferable and revocable right to use the service internally under these Terms.
Subject to third-party rights and applicable AI-provider terms, the customer may use outputs generated for its workspace, but Zavyra does not guarantee that an output is unique or eligible for intellectual-property protection. Feedback may be used to improve the service without an obligation to compensate the sender.
Suspension, termination and data
We may temporarily restrict access for non-payment, a credible security threat, unlawful use, provider instruction or material breach. Where reasonable, we will notify the customer and allow an opportunity to cure or explain. Immediate restriction may be necessary to protect data, users, providers or the service.
Either party may terminate for an uncured material breach. After termination, the customer should export needed data promptly. Zavyra may delete or anonymise workspace data after the applicable export, contractual and legal-retention period. Connected credentials may be removed earlier. Provider-specific retention and deletion rules remain controlling where stricter.
Disclaimers and limitation of liability
To the extent permitted by law, Zavyra is provided on an "as available" basis. We do not guarantee uninterrupted service, third-party approval, error-free source data, a particular business outcome or the accuracy of unreviewed AI output. Mandatory warranties remain unaffected.
In business-to-business relations and to the extent permitted by law, neither party is liable for indirect or consequential loss, lost profit, lost opportunity or loss caused by the other party's configuration, unlawful data, unreviewed output or a third-party platform. ProWEB Agency's aggregate liability arising from the service is limited to fees paid for the three months preceding the event giving rise to the claim. This limit does not apply to intentional harm or liability that cannot lawfully be limited.
Complaints, governing law and changes
Complaints should be sent to office@zavyra.com with the workspace, issue, relevant dates and requested resolution. We normally respond within 14 days. Polish law governs these Terms. Disputes with business customers are submitted to the court competent for ProWEB Agency's registered place, unless mandatory law requires otherwise.
We may update these Terms for legal, security, provider, pricing or product changes. Material changes will be announced in the service or by email with reasonable notice where required. If you do not accept a material change, you may stop using the affected service and cancel before the change takes effect. Continued use after the effective date constitutes acceptance where law permits.
